As a Company Secretary at Goodman, your main focus areas are:
- Together with other colleagues, you will ensure sound governance of the wider corporate legal entities in CE of the Goodman group and managed investment vehicles that include regulated vehicles (AIF), subject to supervision by the CSSF . In CE, Goodman group operations take place in Luxembourg, Italy, Spain, Belgium, Netherlands, Germany, and France.
- Maintain key corporate administration tools and systems and maintain relationship with key stakeholders.
- Assist in performing KYC checks on selected counterparties and in maintaining the KYC programme of the company.
More concretely, this means you will get the opportunity to:
- Act as the company secretary for the entities within your responsibility:
- organizing meetings, preparing agenda, minutes of the meetings, and execution of documents;
- liaison with investor representatives for investor management (eg KYC requests) and responding to investor queries;
- liaison with depository & transfer agent;
- maintenance of internal records (such as company registers, investor registers, distribution lists, …etc)
- Ensure the day-to-day corporate housekeeping and good governance of the Luxembourg corporate legal entities (and in other jurisdictions as the case may be) in collaboration with other colleagues in the company secretary team.
- Maintain the relationship with Goodman's depositary bank and transfer agent in Luxembourg, being a key stakeholder.
- Maintain various company secretary tools and systems, keeping them up to date ensuring reliability of data and reporting based on these tools.
- Participate and potentially lead related projects, transactions, and various initiatives.
- Assist in performing KYC checks on selected counterparties and in maintaining the KYC programme of the company.
- As part of the role, some travel may be necessary.
Do you recognize yourself?
- Bachelor's degree in legal, business administration or other related fields combined with at least 5 years of relevant experience
- Fluent in English (verbal and written). French, German, Italian, or Dutch language skills are a distinct advantage.
- Sound knowledge of company law and practices and of the Luxembourg funds industry
- You have a great eye for detail
- You have a keen sense of organization and know how to prioritize
A successful candidate will be subject to screening procedure and will be requested to provide a criminal certificate
